Welcome to Nyxirion.nl (“Nyxirion,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, and the consulting and digital marketing services we provide. By accessing our website, engaging our services, or entering into an agreement with us, you (“Client,” “you,” or “your”) agree to be bound by these Terms.

Please read them carefully. If you do not agree with any part of these Terms, please do not use our website or services.


1. About Us

Nyxirion Group BV is a consulting and digital marketing services company registered in the Netherlands, providing services including but not limited to business consulting, strategic advisory, digital marketing, branding, content creation, and related professional services.


2. Acceptance of Terms

By using our website or engaging us for any service, you confirm that:

  • You are at least 18 years of age or are accessing our services on behalf of a legal entity you are authorized to represent.
  • You have the legal capacity to enter into binding agreements.
  • All information you provide to us is accurate, current, and complete.

3. Services

3.1 Scope of Services

Nyxirion provides consulting and digital marketing services as agreed upon in a separate proposal, statement of work, service agreement, or invoice (“Engagement Document”) between Nyxirion and the Client. These Terms apply in conjunction with any such Engagement Document. In case of conflict, the specific terms of the Engagement Document shall prevail.

3.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with reasonable notice to affected clients, except where doing so would breach an active Engagement Document.

3.3 Client Responsibilities

Clients agree to:

  • Provide timely, accurate, and complete information and materials necessary for us to perform the services.
  • Designate an authorized representative for approvals, feedback, and communication.
  • Respond to requests for feedback or approvals within agreed timeframes, as delays may affect project timelines.
  • Ensure they hold the necessary rights, licenses, and permissions for any materials, content, or data they provide to us.

4. Fees and Payment

4.1 Pricing

Fees for services will be outlined in the applicable Engagement Document, proposal, or invoice. All prices are exclusive of applicable taxes unless stated otherwise.

4.2 Payment Terms

  • Invoices are due within the timeframe specified on the invoice (typically [Insert: e.g., 14/30] days from the invoice date), unless otherwise agreed in writing.
  • Late payments may incur interest charges and/or suspension of services until outstanding amounts are settled.
  • Where deposits or upfront payments are required, work will not commence until such payment is received.

4.3 Refunds

Fees paid for services already rendered are generally non-refundable. Refund requests for services not yet delivered will be assessed on a case-by-case basis and are at our sole discretion, unless otherwise stated in a specific Engagement Document.

4.4 Third-Party Costs

Any third-party costs incurred on the Client’s behalf (e.g., advertising spend, software licenses, stock assets, hosting fees) are the Client’s responsibility and will be billed separately or passed through as agreed.


5. Intellectual Property

5.1 Client Materials

Any pre-existing materials, trademarks, content, or data provided by the Client remain the property of the Client.

5.2 Deliverables

Unless otherwise agreed in writing, full ownership of final deliverables (e.g., campaigns, designs, strategy documents, content) transfers to the Client only upon full payment of all applicable fees.

5.3 Our Tools and Methodologies

Nyxirion retains ownership of its proprietary tools, frameworks, methodologies, templates, and any pre-existing intellectual property used in delivering services. The Client is granted a non-exclusive license to use such elements solely as incorporated into the final deliverables.

5.4 Portfolio Use

Unless the Client requests confidentiality in writing, Nyxirion reserves the right to reference completed work, including the Client’s name and general project details, for portfolio, marketing, and promotional purposes.


6. Confidentiality

Both parties agree to keep confidential any non-public business, technical, financial, or strategic information disclosed during the course of the engagement, and to use such information solely for the purpose of fulfilling obligations under the engagement. This obligation survives termination of the engagement and continues for a reasonable period thereafter.


7. Performance Disclaimer

While we apply industry expertise, best practices, and diligent effort to all consulting and marketing services, we do not guarantee specific business outcomes, including but not limited to revenue growth, lead volume, conversion rates, search engine rankings, or social media performance. Digital marketing results are influenced by numerous external factors (market conditions, platform algorithm changes, competitor activity, budget levels) beyond our control.


8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Nyxirion’s total liability for any claim arising from or related to the services shall not exceed the total fees paid by the Client for the specific service giving rise to the claim in the preceding three (3) months.
  • Nyxirion shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.
  • Nothing in these Terms limits liability that cannot be excluded under applicable Dutch law, including liability for gross negligence, willful misconduct, or death or personal injury.

9. Termination

9.1 By Either Party

Either party may terminate an active engagement with [Insert: e.g., 30 days’] written notice, unless a different notice period is specified in the applicable Engagement Document.

9.2 Immediate Termination

We reserve the right to terminate or suspend services immediately if the Client breaches these Terms, fails to make payment, or engages in conduct that is unlawful, abusive, or damaging to our business or reputation.

9.3 Effect of Termination

Upon termination, the Client shall pay for all services rendered and costs incurred up to the effective date of termination. Sections relating to Intellectual Property, Confidentiality, Limitation of Liability, and Governing Law shall survive termination.


10. Website Use

10.1 Permitted Use

You may use our website for lawful purposes only. You agree not to misuse the website, including but not limited to introducing malicious code, attempting unauthorized access, or scraping content without permission.

10.2 Website Content

All content on this website (text, graphics, logos, images) is the property of Nyxirion or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

10.3 Third-Party Links

Our website may contain links to third-party websites. We are not responsible for the content, accuracy, or practices of any linked third-party sites.


11. Privacy

12. Force Majeure

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts of the Netherlands, unless otherwise required by mandatory local law.


14. Amendments

We reserve the right to update or modify these Terms at any time. Updated Terms will be posted on this page with a revised “Last Updated” date. Continued use of our website or services after such changes constitutes acceptance of the revised Terms.


15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.


16. Orders and Contract Formation

16.1 Placing an Order

When you complete checkout on our website, you are submitting an offer to purchase the selected service. A binding contract is formed only once we send you an order confirmation email. We reserve the right to decline or cancel any order at our discretion (e.g., pricing errors, suspected fraud, service unavailability), in which case any payment made will be refunded in full.

16.2 Checkout Agreement

By checking the box at checkout confirming you have read and agree to these Terms and Conditions, you enter into a binding agreement with Nyxirion Group BV on the basis set out herein.

16.3 Service Commencement

Unless stated otherwise at checkout or in an Engagement Document, work on a purchased service begins once (a) payment has been received in full or as per the agreed payment schedule, and (b) any information or materials required from you to start the work have been provided.


17. Right of Withdrawal (Consumers Only)

This section applies only if you are purchasing as a consumer (i.e., not on behalf of a business) within the European Union.

17.1 14-Day Withdrawal Period

You have the right to withdraw from a purchase within 14 days of the order confirmation, without giving any reason, in accordance with the EU Consumer Rights Directive as implemented under Dutch law.

17.2 Exceptions for Digital/Custom Services

This right of withdrawal does not apply, or ends early, where:

  • You have expressly requested that we begin performing the service before the 14-day period ends, and you have acknowledged that you thereby lose your right of withdrawal once the service is fully performed; or
  • The service involves the supply of digital content not on a physical medium, where performance has begun with your prior express consent and acknowledgment that you lose the right of withdrawal; or
  • The service is custom-made or clearly personalized to your specifications.

17.3 How to Withdraw

To exercise your right of withdrawal, notify us in writing (email is sufficient) at info@nyxirion.nl before the withdrawal period expires, clearly stating your decision to withdraw. If applicable, we will refund all payments received within 14 days of being informed of your decision, using the same payment method used for the original transaction, unless otherwise agreed.


18. Dispute Resolution

18.1 Direct Resolution

We encourage clients to contact us directly at info@nyxirion.nl to resolve any complaint or dispute in the first instance.

18.2 Online Dispute Resolution (EU Consumers)

If you are an EU consumer and a dispute cannot be resolved directly, you may also submit your complaint via the European Commission’s Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr.
